Welcome to Circl (the "Service", "Platform", "we", "us", "our"). These Terms of Use (the "Terms") constitute a legally binding agreement between you and Circl regarding your access to and use of our mobile application, website (app-circl.com) and related services.

By creating an account, downloading our application, or otherwise accessing the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms, our Community Guidelines, our Privacy Policy, our DMCA Policy and our Child Safety Standards Policy. If you do not agree, you must not use Circl.

1. Eligibility

You must be at least 18 years old to use Circl. By creating an account, you represent and warrant that:

Circl reserves the right to request proof of age and identity at any time. Any account suspected of belonging to a minor will be immediately suspended and may be permanently deleted without notice. Misrepresenting your age is a material breach of these Terms.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to provide accurate, current and authentic information when creating your profile, and to keep this information up to date.

Each user may create and maintain only one personal account. Creating multiple accounts, except where explicitly authorized in writing by Circl, is strictly prohibited.

You must immediately notify Circl of any unauthorized access to, or use of, your account by contacting contact@app-circl.com.

3. User Conduct & Prohibited Behaviors

Your use of Circl is subject to our Community Guidelines, which form an integral part of these Terms. Violation of the Community Guidelines constitutes a material breach of these Terms.

The following categories of behavior are strictly prohibited and may result in immediate suspension or permanent termination of your account, without refund or prior notice:

4. User Content & License

You are solely responsible for any content you submit, post, share or transmit through Circl, including text, photos, videos, stories, messages, profile information and any other material ("User Content").

You retain ownership of your User Content. By submitting User Content to Circl, you grant Circl, its affiliates and sublicensees a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify (for technical purposes only, such as resizing or reformatting), adapt, publish, translate, distribute, publicly perform and display your User Content, solely for the purposes of operating, providing, promoting and improving the Service.

This license continues for as long as your User Content remains on the Platform and survives termination of your account to the extent necessary for backup, legal, regulatory or evidentiary purposes, or where your content has been shared by other users or downloaded prior to deletion.

You represent and warrant that:

Circl reserves the absolute right to review, restrict, hide, demonetize or remove any User Content that violates these Terms, our Community Guidelines or applicable laws, at any time, at our sole discretion and without prior notice or liability.

5. Intellectual Property — DMCA & Copyright

Circl respects the intellectual property rights of others and expects users to do the same. If you believe that your copyrighted work has been copied, used or distributed on Circl in a way that constitutes copyright infringement, please refer to our DMCA Policy for the procedure to submit a notification.

Circl will respond to valid DMCA notifications and may, in appropriate circumstances and at its discretion, terminate the accounts of users who are repeat infringers.

6. Messaging and Interactions

Circl provides messaging and community interaction features. Messaging is available once a connection request has been accepted by the other user.

Unsolicited mass messaging, harassment via direct messages, or using messaging features to circumvent the rules in Section 3 are strictly prohibited.

7. Premium Features & Subscriptions

Some features of Circl may require a paid subscription or premium access ("Premium Features"). By purchasing a subscription, you agree to the pricing and billing terms presented at the time of purchase.

Subscriptions may renew automatically unless canceled through your app store account settings prior to the renewal date.

Pricing, features and availability of Premium Features may change at any time. Material changes affecting active subscribers will be communicated through the app or by email at least 30 days in advance.

8. Payments and Billing

All payments are processed through third-party platforms, including the Apple App Store and the Google Play Store. Circl does not directly collect, store or process your payment information.

Refunds are subject to the policies of the respective platform (Apple, Google) and any applicable consumer protection laws.

9. Reporting & Moderation

If you encounter content or behavior that violates these Terms or our Community Guidelines, you may report it directly within the application or by contacting contact@app-circl.com.

Circl is committed to reviewing reports in a timely manner and taking appropriate action. Reports concerning illegal content, hate speech, scams, threats, or content endangering minors are treated with the highest priority and are typically actioned within 24 hours, in accordance with the EU Digital Services Act (Regulation 2022/2065) where applicable.

10. Account Suspension & Termination

Circl reserves the right, at its sole discretion and without prior notice, to:

No refund will be issued for Premium Features in the event of an account terminated for violation of these Terms or our Community Guidelines.

You may terminate your account at any time through the in-app settings. Upon termination, certain data may be retained as described in our Privacy Policy.

11. Changes to the Service

Circl is constantly evolving. We reserve the right to modify, suspend or discontinue any feature, function or aspect of the Service, in whole or in part, at any time and without liability. We will use reasonable efforts to notify users of material changes affecting active subscribers.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability or uninterrupted operation.

To the maximum extent permitted by applicable law, Circl disclaims any warranty that:

You interact with other users at your own risk. Circl is not responsible for the actions, content, conduct, statements or representations of other users.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Circl, its affiliates, officers, directors, employees, agents, partners and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including but not limited to loss of profit, revenue, data, goodwill, reputation, business opportunity or content, arising out of or in connection with your use of, or inability to use, the Service.

To the extent that liability cannot be excluded under applicable law, Circl's total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Circl in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).

This limitation applies regardless of the legal theory of liability (contract, tort, statute or otherwise) and even if Circl has been advised of the possibility of such damages.

You agree to indemnify, defend and hold harmless Circl, its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to:

Circl shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil disturbances, pandemics, government actions, network or infrastructure failures, hosting provider outages (including Amazon Web Services, Google Cloud, OVH or others), denial-of-service attacks, or any other event of force majeure.

16. Governing Law & Jurisdiction

These Terms, and any dispute arising out of or in connection with these Terms or the Service, shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

Subject to mandatory consumer protection laws applicable in your country of residence, any dispute, controversy or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.

For users residing in the United States, the European Union or other jurisdictions where mandatory consumer protection laws apply, nothing in this section deprives you of the protection of mandatory consumer laws of your country of residence, nor of the right to bring proceedings in the courts of your domicile where such right is granted by mandatory law.

17. Dispute Resolution & Class Action Waiver

Before initiating any legal proceeding, you agree to first contact Circl at contact@app-circl.com and attempt to resolve the dispute amicably within a period of sixty (60) days from the date of your written notice.

For users residing in countries where such waivers are legally enforceable (notably the United States), you agree that any dispute will be resolved on an individual basis only, and you waive any right to participate in a class action, collective action or representative proceeding against Circl. This waiver does not apply where prohibited by mandatory law.

18. Limitation Period

To the extent permitted by applicable law, any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose. Claims filed after this period are permanently barred. This limitation does not apply where prohibited by mandatory law.

19. California Residents (CCPA / CPRA)

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know, delete, correct and opt out of the sale or sharing of personal information. Please refer to our Privacy Policy for details on how to exercise these rights.

If you access Circl through the Apple App Store, you acknowledge and agree that:

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

22. No Waiver

The failure of Circl to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver by Circl must be in writing to be effective.

23. Assignment

You may not assign, transfer or sublicense your rights or obligations under these Terms without Circl's prior written consent. Circl may freely assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

24. Entire Agreement

These Terms, together with the Community Guidelines, the Privacy Policy, the DMCA Policy and the Child Safety Standards Policy, constitute the entire agreement between you and Circl regarding the Service, and supersede any prior agreements, communications or proposals, whether written or oral.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements or community standards. When we make material changes, we will notify you through the application, by email, or by other reasonable means, at least thirty (30) days before the changes take effect (or as soon as practicable for changes required by law or for security reasons).

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

These Terms reflect Circl's operational, contractual and community standards. They are intended to provide a high level of protection for Circl and its users, but they do not constitute legal advice. We strongly recommend reviewing these Terms with a qualified attorney admitted in France and familiar with EU and US technology law, including the Digital Services Act (Regulation 2022/2065), the General Data Protection Regulation (Regulation 2016/679), Section 230 of the US Communications Decency Act, the Digital Millennium Copyright Act (DMCA), the California Consumer Privacy Act (CCPA) and applicable consumer protection laws, prior to public release.
